ASAR advises on establishment of Kuwait’s third PPP Project Company for the USD 3.9 Billion Az Zour North Phase 2 & 3 IWPP
ASAR – Al Ruwayeh & Partners has once again played a central role in advancing Kuwait’s public-private partnership (PPP) framework, having now advised on the establishment of all three PPP project companies created under the Kuwait Authority for Partnership Projects (KAPP).
Most recently, ASAR acted as legal advisor to Gulf Investment Corporation and ACWA Power, in coordination with Kuwait Authority for Partnership Projects (KAPP), on the establishment of Gulf Alliance for Power & Water Co. K.S.C.P.—Kuwait’s third PPP project company.
The newly incorporated company will develop, construct, and operate the USD 3.9 billion Az Zour North Phase 2 and 3 Independent Water and Power Project (IWPP)—one of Kuwait’s largest power generation and water desalination plants, with a target capacity of at least 2,700 MW of power and 120 million imperial gallons per day (MIGD) of desalinated water.
The incorporation was completed in record time, overcoming complex legal, practical, and technical challenges. This was made possible through the collective expertise and commitment of the ASAR team led by Ibrahim Sattout (Partner) and including key contributions from Akusa Batwala (Partner), Ahmed Labib (Senior Associate), Hussein Azmy (Senior Associate) and Ahmed Abbas (Associate).
ASAR’s role as counsel to the sponsors builds on its experience advising on Kuwait’s first PPP project company (the Az Zour North Phase 1 IWPP), second (the Umm Al Hayman Wastewater Treatment Project), and now the third (the Az Zour North Phase 2 & 3 IWPP). ASAR remains the only law firm in Kuwait to have advised on the incorporation of all three PPP project companies to date.
