AI Governance: Board Duties, Risk Controls, and Oversight

The deployment of AI within the banking and finance sectors necessitates comprehensive governance mechanisms to secure legal certainty and safeguard client interests. Robust governance frameworks are essential to giving practical effect to the “appropriate safeguards” prescribed by certain judicial authorities for legal persons utilising AI systems, including oversight, auditability, and effective risk controls. In the absence of such frameworks, liability can diffuse both horizontally across operational functions and vertically through governance structures.
Implementing Governance
Kuwaiti banks and financial institutions should review existing policies or adopt clear AI policies defining system roles, limitations, and required human involvement. Models must be routinely tested for errors, bias, cybersecurity vulnerabilities, and explainability, ensuring that AI-driven outcomes can be understood, documented, and justified to regulators and clients. Human judgment must remain available at critical junctures, with override mechanisms to protect client rights and ensure reliable audit trails.
Full audit records should be maintained for regulatory review or investigations. Staff training is essential to enhance awareness of AI-related risks and operational resilience.
Boards of directors sit at the centre of these obligations. They should:
- approve AI policies and establish an AI risk committee;
- maintain updated inventories of AI models;
- enforce cybersecurity and incident-reporting standards;
- ensure unambiguous electronic client consent;
- implement controls to override or halt AI-driven decisions when needed.
AI-specific insurance can also mitigate exposure. Financial institutions, CMA-licensed persons, and insurance companies should assess policies covering operational and reputational losses arising from AI hallucinations and/or inference errors, including risks stemming from reliance on third-party or cross-border AI providers.
Conclusion
AI is already reshaping decision-making, risk allocation, and accountability across the financial services sector. The legal and operational risks are immediate and intensifying. For Kuwaiti financial institutions, the question is no longer whether AI will influence regulated activities, but how responsibility, consent, and governance are structured around its use. Institutions that embed clear governance frameworks, board oversight, and effective safeguards will be best positioned to manage regulatory scrutiny and future disputes arising from AI-driven decisions.
