Paul is a corporate and commercial law partner based in Kuwait and has been with the firm since 1999. Prior to joining ASAR, Paul practised in Canada for six years.
Paul has extensive experience in corporate and commercial law matters including the representation of local and foreign clients in franchise, establishment of Kuwaiti companies, employment, construction, taxation and agency/distributorship-related matters. Paul regularly advises international construction and engineering firms on litigation and arbitration matters involving state-owned and governmental counterparties in the oil and other sectors.

Construction of a stainless steel cold rolling plant in Bahrain
ASAR acted as legal counsel in regard to the establishment of a special purpose company to construct, own and operate a stainless steel cold rolling plant located in Bahrain. Paul participated in drafting the shareholders’ agreement, supply and off-take contracts.

Supply of mechanical and electrical equipment for a cement plant
Paul acted as counsel for client’s purchase of equipment from an international supplier for the expansion of a cement plant in Kuwait and the construction of the expansion. Paul assisted in the drafting and negotiation of fabrication, erection, supervision and construction contracts and related documentation (e.g., performance and advance payment guarantees).

Paul regularly advises international companies tendering for and participating in government sponsored projects in various sectors and those of state-owned entities such as Kuwait Oil Company. Paul advises on contract, legal and regulatory issues and in respect to tax considerations.

Secondment to multinational company
Paul acted as legal manager for a prominent multinational company based in Kuwait. Paul was responsible for all aspects of the company’s legal affairs throughout the Middle East including advising on and implementing the Middle East corporate structure of the client, negotiating and drafting franchise agreements with global franchisors, implementing structures mitigating potential tax implications, negotiating and drafting lease contracts, employment contracts, development and distribution agreements, etc.
