ASAR is pleased to have Partner, Steven Brown, take part in ‘Interpreting Convertible Notes’ seminar taking place on 20 March 2023 in Gulf Hotel, Bahrain. The seminar is hosted by KPMG in Bahrain in collaboration with the Bahrain Economic Development Board (EDB) and will provide an overview and clarity on capital raising and financing using Convertible Notes in Bahrain, the first GCC country to enable start-ups to issue these securities. With the implementation of amendments to the Bahrain Companies Law, effective use of these flexible instruments opens doors to companies seeking alternative sources and options for expanding their businesses. Steven and the other lawyers on the Legal Perspectives panel will explore the traditional uses of Convertible Notes, their place in the Bahrain regulatory regime and the benefits of using notes issued in the GCC for local and regional expansion.

‘Convertible Notes’ have become an attractive option to raise capital for businesses, especially start-ups and small to medium enterprises across international markets. Over the years they have evolved into more modern and simpler instruments for businesses to raise capital. Given that ‘Convertible Notes’ issued in Bahrain are not required to have a specific form, they can be easily drafted to ensure that they are aligned to issuers’ needs, lenders’ protections and regulatory norms.

The seminar aims to provide an overview and insights on how to address some of the challenges of capital raising and financing in Bahrain and how and to what extend Convertible Notes answer some of those challenges. The seminar will aim to simplify the concept and the approach for business owners and entrepreneurs who may wish to consider issuing Convertible Notes
